Terms of Service and Conditions of Trade for Studio Ally
Last Updated: October 9, 2026
1. Scope of Professional Engagement
1.1 Service Limitation: Studio Ally operates strictly as an interior styling, surface finish curation, and product procurement advisory specialist.
1.2 Structural Drawing Exclusion: Studio Ally does not provide structural space planning, internal elevations, CAD/BIM drafting, joinery fabrication layouts, or formal building documentation. The Client or primary project Architect retains full legal liability for architectural sets, building clearances, and physical on-site measurements.
1.3 Scope Items: The service menu relates exclusively to specifying and sourcing Furniture, Accessories, Fittings, Equipment, Materials, and Finishes (FF&E). All documentation is compiled and viewed digitally via our online platforms.
2. Fees, Milestone Billing, and Payment Rules
2.1 Fixed Flat Fees: Services are rendered via a locked fixed flat-fee schedule as detailed in the approved project Statement of Work (SOW).
2.2 Milestone Payments: Higher-tier residential and commercial schedules require a 50% non-refundable booking deposit to lock studio creative capacity. The remaining 50% balance must clear prior to the digital presentation block or final file handoff. Packages under $2,500 are payable 100% upfront.
2.3 Asset Deactivation Rights: Studio Ally retains the right to instantly lock and deactivate shared digital schedules, live portal links, and product registries if payment milestones face delays exceeding 7 business days past the invoice date.
3. Revision Boundaries and Hourly Penalty Extensions
3.1 Built-in Revision Loops: Fixed-fee curation bundles include a maximum of two (2) rounds of technical modifications to the material specifications.
3.2 Strict Review SLA: The Client must submit all revision loops or item changes directly inside the live portal within a strict seven (7) business days of document issue.
3.3 Hourly Variation Rate: Requests for a third (3rd) round of changes, or modifications submitted after the 7-day review window closes, automatically void the flat-fee package. All subsequent curation and administration will be billed at an independent variation rate of $180 per hour (excluding GST), invoiced weekly.
4. Material Variances and Physical Slab Inspections
4.1 Visual Disclaimer: Digital material flat lays, screen resolutions, and sample images serve as illustrative guides only. Natural stones, timber panels, fabric weaves, and leather drops are subject to inherent supplier manufacturing tolerances, dye-lot variables, and grain shifts.
4.2 Physical Sample Box: Following digital sign-off, Studio Ally coordinates the collection and delivery of one (1) physical sample verification box to the Client's address for tactile verification.
4.3 Natural Stone Selection Fees: Physical attendance at local supplier yards or stone galleries to inspect specific marble or quartzite slabs falls outside package limits. Attendance is subject to scheduling blocks and is billed as a separate variation at a flat rate of $450 (excluding GST) per 2-hour attendance block (inclusive of regional transit). Hours exceeding the 2-hour limit trigger the standard $180/hr variation fee.
5. Trade Procurement Mandate
5.1 Credit Boundaries: Studio Ally does not extend commercial lines of credit to private clients or external contractors.
5.2 Upfront Ordering Capital: All approved product invoices for Furniture, Accessories, Fittings, Equipment, Materials, and Finishes require 100% cleared retail payment (RRP) upfront before wholesale trade orders are formally processed with vendors.
6. Consumer Rights & No-Refund Boundaries
6.1 ACL Compliance: Nothing in these Terms limits or alters consumer statutory guarantees provided under the Competition and Consumer Act 2010 (Cth).
6.2 Change of Mind Cancellation: In alignment with standard consumer regulations, refunds are completely unavailable for a change of mind once material sourcing blocks and design curation hours have actively commenced.
7. Governing Law
These conditions of trade are governed entirely by the laws of Victoria, Australia. Any official disputes or contractual claims arising from our design delivery fall strictly under the jurisdiction of the courts of Victoria.
